Bylaws of the
Kenai Peninsula Quilting Guild, Inc.
As revised and approved by the General Membership Meeting April 6, 2013
ARTICLE 1 – Name
The name of this guild shall be the Kenai Peninsula Quilting Guild, Inc. Further referred to as the Guild.
ARTICLE 2 – Purpose
The purpose of this guild shall be to stimulate an interest in quilts, to promote and advance the art of quilt making, and to conduct educational programs and services in the design and techniques of quilt making.
ARTICLE 3 – Members
Section 1: Membership is open to anyone who has an interest in quilts and whose current dues are paid.
Section 2: Members shall pay annual dues as specified by vote of the membership payable on or before the October meeting for the period October 1 of the current year through September 30 of the following year. Members whose dues are not paid by November 1 shall be automatically dropped from membership in the Guild.
ARTICLE 4 – Officers
Section 1: The elected officers of the Guild shall be President, Vice President, Secretary and Treasurer.
Section 2: The appointed officers shall be Historian, Librarian, Newsletter/Publicity Chair, Hospitality Chair, Retreat Chair, Pattern Chair, Membership Chair, Member-At-Large (as necessary - see Article 4, Section 6 (#14), Kenai Peninsula State Fair Quilt Show Chair and Website Chair.
Section 3 (a): During even numbered years the offices of President and Treasurer shall be elected. During odd numbered years the offices of Vice-President and Secretary shall be elected. Term of office shall be two years. Candidates shall be presented by a nominating committee of three.
Section 3 (b): No member shall hold more than one elected office at a time, and no member shall be eligible to serve more than two consecutive terms in the same office. Any officer who serves half of a term or less may be elected to the same office. Any officer who has been appointed by the executive board may be elected by the general membership to the same office for up to two consecutive terms.
Section 4: A vacancy in the office of President shall be filled by the Vice President; all other vacancies shall be filled by a vote of the Executive Board.
Section 5: Duties of Officers and Committee Chairs shall follow the Policy and Procedures for their respective position.
Section 5 (a) PRESIDENT shall preside at all guild meetings, select appointed officers and committees necessary to the welfare of the Guild.
Section 5 (b) VICE-PRESIDENT shall be the Education Chair and shall perform the duties of the president in the president’s absence. The Vice-President shall serve as Parliamentarian during meetings. In the event the Vice-President is serving as President a Parliamentarian shall be appointed.
Section 5 (c) SECRETARY shall record the minutes of all meetings and retain the permanent official signed record.
Section 5 (d) TREASURER shall receive and disburse funds, keep accurate records, give a report at each meeting and retain the permanent official record.
Section 5 (e) HISTORIAN shall maintain an official history of the Guild.
Section 5 (f) LIBRARIAN shall provide book review(s) for each issue of the newsletter.
Section 5 (g) NEWSLETTER/PUBLICITY CHAIR shall be responsible for publishing and mailing a quarterly newsletter as well as coordinating publicity for all Guild activities.
Section 5 (h) HOSPITALITY CHAIR shall be responsible for obtaining and serving refreshments at meetings, including setup and cleanup. The Hospitality Chair is also responsible for gifts of recognition to be presented by the guild.
Section 5 (i) RETREAT CHAIR shall coordinate an annual retreat.
Section 5 (j) PATTERN CHAIR shall provide pattern(s) for each issue of the newsletter.
Section 5 (k) MEMBERSHIP CHAIR shall receive dues and keep a current roster of the Guild members.
Section 5 (l) MEMBER-AT-LARGE. If, following the general election, there is an area of the Kenai Peninsula not represented, the Guild members of that area may select a Member-At-Large to represent them. This Member-At-Large shall have full voting privileges.
Section 5 (m) KENAI PENINSULA STATE FAIR QUILT SHOW CHAIR shall coordinate the quilt show at the Kenai Peninsula State Fair.
Section 5 (n) WEBSITE CHAIR shall research and/or coordinate the establishment, maintenance and updating of the Guild’s website.
ARTICLE 5 – Membership Meetings
Section 1: The membership meetings of the Guild shall be held on a Saturday in April and October. The meeting site will be in the Central Peninsula area.
Section 2: The membership meeting in April shall be known as the Annual Meeting with the election and installation of officers.
Section 3: Special meetings may be called by a two-thirds vote of the Executive Board.
Section 4: A quorum of the membership shall be defined as 20% of the membership.
ARTICLE 6 – Executive Board
Section 1: The elected officers, the appointed officers, and the immediate past President make up the Executive Board and should be present at all meetings.
Section 2: The Executive Board shall transact such business as may be necessary between regular Guild membership meetings, subject to ratification by the Guild. The Board shall make recommendations to the Guild and perform such other duties as specified.
Section 3: Meetings of the Executive Board shall be held quarterly or at the call of the President or any three Board members.
Section 4: A quorum shall be a majority of the Board members currently seated.
ARTICLE 7 – Special Committees
Section 1: AUDITING COMMITTEE. The president shall appoint an auditing committee of two (2) members to audit the Guild’s financial records. This audit shall take place annually prior to the Annual Meeting. The report of the Auditing Committee shall be made at the Annual Meeting.
Section 2: NOMINATING COMMITTEE. The President shall appoint three (3) members at the October Membership Meeting. The Committee shall seek and present candidates for each open office at the Annual meeting. Further nominations may be made from the floor, provided the nominee is present or has given consent to serve if elected. Election of officers shall be by ballot at the Annual meeting.
ARTICLE 8 – Parliamentary Authority
Section 1. The current edition of Robert’s Rules of Order, Newly Revised shall govern the Guild in all cases not specified in these bylaws or in the standing rules.
ARTICLE 9 – Amendment of Bylaws
Section 1. The bylaws may be amended or repealed in whole or in part by a 2/3-majority vote at a duly organized membership meeting of the Guild. The proposed change shall be announced in the newsletter issue immediately preceding the meeting when the changes will be considered.
ARTICLE 10 – Dissolution
Section 1. The object and purpose of this organization being entirely educational, no part of its earnings shall inure to the use or benefit of an individual. Reimbursement for expenditures or the reasonable compensation for services rendered shall not be deemed to be distribution of income or principal. In the event of dissolution of the Guild, any and all of its funds and any other property then owned by it shall be distributed to or for the use of such charitable or educational organizations exercising some function with respect to quilting as the Executive Board shall then select and determine.
